ELIGIBILITY.
The Promotion is open only to legal residents of the United States and the District of Columbia and Canada, living in the United States and the District of Columbia and Canada, who are at least eighteen (18) years of age or older at the time of registration and entry. The Promotion is void in Puerto Rico and any other jurisdiction where otherwise prohibited by law, rule or regulation. HOW TO ENTER ONLINE.
To enter the Promotion, visit www.vvestor.com and complete an online registration form. You must include your correct and verifiable full name, postal address, gender, telephone number and/or cellphone number, date of birth and email address on the registration form (collectively, "Registration Data"). You will also be required to establish a unique username (pending availability ) that will be used as your identity on the website. Once you have submitted the registration form, you will have access to the member site features and you will have the opportunity to enter and submit your guess for the market closings for the S&P 500 and the NASDAQ®, indices, respectively. All entries must be submitted by 12:00 p.m. EST in order to be eligible to win that day's prize. Entries submitted after 12:00PM will be considered valid for the next American Stock Exchange business day. Only one (1) entry per household per day. By registering for the Promotion, you are also opting-in to become a registered member of VVestor.com™ and agree to accept email marketing and other messages from the Company and its advertising affiliates (hereinafter referred to as "Advertisers") as a condition of such membership.

HOW TO WIN.
To be eligible to enter and to win, contestants must register at www.vvestor.com and submit their index assessments pursuant to Section 2 hereinabove. Each day, following the close of the NYSE and NASDAQ®, all entries submitted for that day will be compared to the official NASDAQ® and S&P 500 market closing indices as published by the official NASDAQ� and the S&P 500 websites (www.nasdaq.com and www.standardandpoors.com, respectively). A match will be consider as one when the entries submitted by the member match the indices up to 2 decimal points. Winners will be notified within seven (7) days following the identification of a winning entry. If you are notified by the Company (via email, certified mail and/or telephone) that your entry correctly matched the market closing indices for both the S&P 500 and NASDAQ® and is therefore deemed the winning entry, you must respond with your claim within fourteen (14) days of attempted notification. Your response must include your name, date of birth and email address. All winners will be required to fulfill the obligations set forth in Section 6 hereinbelow.
The winning entry must identically match the information included in the Promotion's daily index returns, as reflected in the Company database, in order for a prize to be awarded. In the event of a dispute, the information in the Company's database will govern. All prizes are subject to eligibility verification. Entries will be deemed made by the person under whose name the entry was registered, regardless of who actually submitted the entry. Be sure to use your correct name and your own email address. In the event that there is any failure, error or other difficulty in the transmission of the entries to the Company, the Promotion may be canceled at the Company's sole discretion.

PRIZE DESCRIPTION.
Five Hundred Dollars ($500.00), payable by check. In the event that more than one (1) individual correctly guesses the market closings of both the NASDAQ® and the S&P 500 indices on a particular day, the prize will be shared equally among all winners. In case that the individual prize payment are less then $100, the payment will be paid using PayPal(r) services.

ODDS OF WINNING
The odds of winning depend upon market fluctuations during the Promotion Period.

UNCLAIMED PRIZES WILL NOT BE AWARDED.
Winners will be required to execute and return a notarized Affidavit of Eligibility and Liability/Publicity Release within fourteen (14) days following attempted notification. Non-compliance within this time period may result in forfeiture of the applicable prize. Winners will be required to provide picture proof of identification, which may include a driver's license, passport, voting card or other similar government issued identification. Return of any prize/prize notification as undeliverable may result in forfeiture.

LIMITED TIME ONLY.
Promotion begins January 15, 2008 and ends February 15, 2008 (the "Promotion Period"). Entries will not rollover from day-to-day. Each day constitutes a single Promotion.

PUBLICATION.

RELEASE/DISPUTE RESOLUTION.
By entering the Promotion, you agree to release and hold harmless the Company, its legal representatives, affiliates, subsidiaries, parents, agencies and its officers, directors, employees and agents from any and all liability for any injuries, loss or damage of any kind arising from, or in connection with, the Promotion or any prize won. Restrictions, conditions, and limitations apply. By entering, you further agree that, in the event there is any conflict or other inconsistency between the Official Contest Rules and any advertisements, promotional or marketing materials, emails, or announcements relevant to the Promotion, these Official Contest Rules will govern. Should any part of these Official Contest Rules be held invalid or unenforceable, that portion shall be construed in accordance with applicable law and the remaining portions shall remain in full force and effect. Should a dispute arise concerning the Promotion, you agree that the Promotion is governed by the laws of the State of New York (without regard to conflicts of law principles). You also agree that any and all disputes shall be resolved before the American Arbitration Association ("AAA") in New York City, in accordance with the then current Commercial Arbitration Rules of the AAA. The Company, its legal representatives, affiliates, subsidiaries, parents, agencies and its officers, directors, employees and agents, are not responsible for lost, interrupted or unavailable network server or other connections, miscommunications, failed telephone or computer transmissions or technical failure, index errors, lost email entries, jumbled, scrambled or misdirected transmissions, or other error of any kind, whether human, mechanical or electronic. Persons found tampering with or abusing any aspect of the Promotion, as solely determined by the Company, will be disqualified. If disqualified for any of the above reasons, the Company reserves the right to terminate player's eligibility to participate in the Promotion. In the event that any portion of the Promotion is compromised by virus, bugs, non-authorized human intervention or other causes beyond the control the Company which, in the sole opinion of the Company, corrupts, or impairs the administration, security, fairness or proper play of the Promotion, the Company reserves the right, in its sole discretion, to suspend or terminate the Promotion or any part of the Promotion, or any combination of the above.
